The Dwell® Magazine/Blu Dot Lounge Chair Design Competition Official Rules No Purchase Necessary The following are the official rules for the Dwell Magazine/Blu Dot Lounge Chair Design Competition (“Competition”): 1. Sponsors: The Competition is sponsored by Dwell LLC., publisher of Dwell Magazine, located at 40 Gold Street, San Francisco, CA 94133, and BluDot, located at 3236 California Street N.E., Minneapolis, MN, 55418. 2. Eligibility: The Competition is open to legal residents of the 50 United States and the District of Columbia who are at least 18 years of age. The Competition is subject to all applicable federal, state and local laws and regulations, and is void where prohibited by law. Employees and their immediate families (spouse, parent, sibling, child, and respective spouses) and those living in their immediate households, whether or not related, of Sponsors, Sponsors’ respective parents, affiliates, subsidiaries are not eligible to enter the Competition or to win a prize. 3. Entry Period: The Entry Period for the Competition begins at 9 a.m. on May 167, 2007, and ends at 6 p.m. on July 2, 2007. Entries received before or after the Entry Period will not be considered unless an early entry is resubmitted during the Entry Period. 4. How to Enter: A complete entry consists of both of the following elements: (1) a completed entry form available at www.dwell.com/thelounge__________ and (2) a rendering of your lounge chair design, either hand-drawn or in digital format with a description of required materials. You may supplement your drawing with supporting materials such as a model, elevations, 3D drawings, dimensional drawings, and the like. Incomplete entries or entries not submitted in one of the required formats will be void. All drawings and other materials submitted as part of the entries become the property of Sponsors, may be exploited for marketing purposes, and will not be returned. Entries must be submitted during the Entry Period by mail or personal delivery to Dwell/BluDot Chair Competition, 40 Gold Street, San Francisco 94133. 5. Ownership Rights in Submissions: You must have all ownership rights in and to your submission. By submitting an entry you represent and warrant that the design contained therein is your original work and that no other person or entity has any ownership interest in the design or is entitled to any payment for the use of the design. Your entry must not have been submitted in any other competition or previously published. Sponsors reserve the right to void and/or disqualify any submission if found in Sponsors’ sole discretion to be plagiarized, copied, or fraudulent; to infringe upon existing rights of others; or to be incomplete, damaged, obscene, vulgar, offensive or otherwise unsuitable. All drawings and other materials submitted as part of the entries become the property of Sponsors, may be exploited for marketing purposes, and will not be returned. 6. Winner Selection: Sponsors’ judging team will select three finalists from the qualified entries submitted during the Entry Period. Criteria will include appearance, comfort, sustainability, efficiency and affordability. The decisions of the Sponsors in selecting finalists and in all matters relating to the Competition are final and binding. The finalists’ designs will be posted on www.dwell.com on approximately August 1, 2007. Dwell.com website visitors will vote online for their favorite of the three finalists’ entries. Site visitor voting will end at midnight on September 1, 2007. The Competition Winner will be selected on the basis that the winner of the site visitor votes will receive one vote and each of the Sponsors will cast one vote, for a total of three votes. The Competition winner will be notified in person at Dwell on Design San Francisco on or about September 15, 2007. Finalists will be invited to attend Dwell on Design San Francisco at Sponsors’ expense. 7. Prize: Each of the three finalists will receive $1,000 in cash and a $1,000 credit at bludot.com. The winning entry will be awarded a $5,000 cash prize within two weeks of acceptance, and will be identified at Dwell on Design San Francisco and in Dwell Magazine as the winner of the Competition and the designer of the Dwell/BluDot Lounge Chair. If the winner chooses not to accept the prize, an alternate winner will be chosen. All federal, state, and local taxes on prize winnings are the sole responsibility of the finalists and the winner. A 1099 tax statement will be filed with the IRS for each of the finalists and the winner and each finalist will be required to sign a W-9 form and other agreements. Winner will be required to sign various agreements, including an Affidavit of Eligibility, a Waiver, and Assignment of Intellectual Property Rights, and a Publicity Release. Failure to due so will result in forfeiture of the prize. The identity of the prizewinner will be posted at www.dwell.com and at www.bludot.com. 8. Intellectual Property Rights in Winning Design: By submitting an entry, each entrant agrees that the Sponsors shall own the winning design (including all intellectual property related to or embodied in such design) and that the winner has relinquished all intellectual property in the winning design to Sponsors. Sponsors reserve all rights related to the winning entry, including the rights to edit, publish, use, adapt, exploit, modify, copy, disseminate, post, or dispose of the winning entry, online, in print, film, television, or in any other media for advertising and promotional or other purposes without compensation or notification to the entrant of any kind, except as prohibited by law. Sponsors expect that BluDot will manufacture and sell a chair based on the winning entry (but reserve the right not to do so), and the winning entrant will have no right to any profits or other compensation related to the commercial exploitation of the winning design. In the event that BluDot does not manufacture a chair based on the winning entry within two (2) years of Sponsors’ announcement of the winner, the intellectual property rights in the winning design will be returned to the winner. 9. Right to Use Name, Likeness, etc.: By submitting an entry, you grant to Sponsor, its parents, subsidiaries, affiliates, successors and assigns, the right, except where prohibited by law, to use your name, likeness, city and state, biographical information and written or oral statements, for advertising and promotional purposes in promoting or publicizing Sponsor and its products or services, without compensation unless required by law. You shall have no right of approval, no claim to compensation, and no claim (including, without limitation, claims based on invasion of privacy, defamation, or right of publicity) arising out of any use, blurring, alteration, or use in composite form of your name, likeness, city and state, biographical information, or entry. The rights granted under this paragraph are without compensation or notification to the entrant of any kind, except as prohibited by law, and shall extend to all entries and all other submitted materials related to the Competition, including those submitted by non-winners and winners. 10. General Conditions. By participating in the Competition, entrants agree to abide by the terms of these Official Rules and by the decisions of Sponsors and the judges, which will be final and binding on all matters pertaining to this Competition. Except where prohibited by law, by entering the Competition, each entrant agrees that Sponsor and its designees may use his or her name, likeness, city, and state for advertising, promotional, and other purposes in any media now or hereafter known throughout the world (including the right to post entry on Sponsors’ Web sites) without further compensation or notification. Neither Sponsors, nor their respective parents, affiliates, subsidiaries, divisions, advertising, and promotion agencies, nor the respective officers, directors, employees, or agents of the foregoing (collectively, the "Released Parties") are responsible for any injury, losses, or damages of any kind resulting from participation in this Competition. If for any reason the Competition is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsors, which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Competition, Sponsors reserve the right in their sole discretion to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify, or suspend the Competition, and/or to judge entries from among all eligible, nonsuspect entries received prior to such action. Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, or destruction or unauthorized access to, or alteration of, entries. Released Parties are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsors on account of technical problems or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Competition. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE COMPETITION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW. 11. Privacy By entering this Competition, you agree and consent that any information you provide upon entering may be used by Sponsors in accordance with their respective Privacy Policies, available at www.dwell.com/______________ and www.bludot.com/_____________. If you do not want your information used in this manner, do not enter this Competition.
